1. Introduction

These Terms of Service (“Terms”) govern your use of the website at pieceify.com and all related services (the “Services”) operated by Meridia Inc. (“Meridia”, “Pieceify”, “we”, “us” or “our”), a company incorporated in Delaware, United States.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. We may update these Terms from time to time by posting a revised version on our website. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. The Services

Pieceify allows you to upload personal photos, apply AI-powered artistic transformations, and order custom printed puzzles featuring your transformed images. Our Services include the website, image upload and transformation tools, and order fulfillment.

We use third-party AI technology (currently OpenAI) to generate artistic variations of your uploaded photos. The AI-generated output is created automatically and may vary in quality, accuracy, and artistic interpretation. We do not guarantee that AI-generated images will meet your specific expectations.

The Services are not a photo storage or backup service. You should maintain your own copies of any photos you upload. We may delete uploaded images in accordance with our data retention practices described in our Privacy Policy.

4. Your Content

“Your Content” means the photos, images, and any other materials you upload to or create through the Services.

You retain ownership of Your Content. By uploading content to the Services, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, process, store, and transmit Your Content solely for the purpose of providing the Services to you. This includes sending your photos to our AI processing providers and printing partners to fulfill your orders.

You represent and warrant that:

• You own or have the necessary rights and permissions to upload and use Your Content.
• Your Content is not copied from a professional photographer, stock image library, or other source for which you do not hold the rights.
• If Your Content contains images of other people, you have obtained their consent for the use of their likeness in connection with the Services. This includes friends, family members, coworkers, and any other identifiable individuals.
• You will not upload photos of strangers, public figures, or celebrities without proper authorization. You are solely responsible for obtaining any required consent or release from individuals depicted in Your Content.
• If Your Content contains images of minors, you represent that you are the parent or legal guardian of the minor, or that you have obtained consent from their parent or legal guardian.
• Your Content does not violate any applicable law or infringe any third-party rights.

5. Content Restrictions

You agree not to upload or submit content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Infringes any patent, trademark, copyright, or other intellectual property rights of any party.
• Contains sexually explicit material involving minors.
• Promotes violence, discrimination, or hatred against any individual or group.
• Contains malicious code, viruses, or any form of malware.

We use automated content screening systems to detect and reject content that does not meet our guidelines. These systems may flag or block uploads without prior notice. Automated screening may not catch all prohibited content, and the absence of a flag does not constitute our approval of Your Content.

We reserve the right to refuse, remove, or disable access to any content that violates these Terms, at our sole discretion and without prior notice.

6. AI-Generated Content

The artistic transformations applied to your photos are generated using third-party AI services. You acknowledge and agree that:

• AI outputs may be unpredictable and we make no guarantees regarding their accuracy, quality, or suitability for any particular purpose.
• We are not responsible for any intellectual property issues that may arise from AI-generated content. You use AI-generated images at your own discretion.
• The AI provider (currently OpenAI) processes your photos through their API. Per their API terms, your images are not used to train their models.
• You may use AI-generated images created through the Services for personal, non-commercial purposes only, including as printed on your puzzle. You may not resell, redistribute, or commercially exploit the AI-generated images separately from the physical product.

7. Copyright Policy

We respect the intellectual property rights of others. If you believe that your copyrighted work has been used on our Services in a way that constitutes infringement, please contact us at support@pieceify.com with the following information:

• A description of the copyrighted work you claim has been infringed.
• A description of where the infringing material is located on the Services.
• Your contact information (name, address, email, phone number).
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your physical or electronic signature.

8. Fees and Payment

Prices for our products are displayed on the website and may change at any time without notice. All prices are in US dollars and include applicable taxes unless otherwise stated.

Payment is processed securely through Stripe. We do not store your payment card details. All payment information is handled directly by Stripe in accordance with their security standards.

By placing an order, you agree to pay the total amount shown at checkout, including product price, shipping, and any applicable taxes.

9. Shipping and Delivery

We currently ship to addresses within the United States only. Our puzzles are manufactured and shipped by third-party printing and fulfillment partners. Estimated delivery times are provided at checkout but are not guaranteed.

We are not responsible for delays caused by our fulfillment partners, shipping carriers, customs, or events beyond our reasonable control. Risk of loss and title for products pass to you upon delivery to the shipping carrier.

10. Cancellations, Returns, and Refunds

You may cancel your order within 2 hours of purchase for a full refund by contacting us at support@pieceify.com. After this 2-hour window, your puzzle enters production and can no longer be canceled or refunded.

Because each puzzle is custom-made from your personal photos, we cannot accept returns for change of mind or buyer's remorse.

If your order arrives damaged or defective, please contact us at support@pieceify.com within 14 days of delivery with photos of the damage. We will, at your choice, send a free replacement or issue a full refund.

If your order is lost in transit, we will work with the shipping carrier to locate it. If it cannot be found, we will send a replacement or issue a refund.

11. Product Appearance

Due to differences in screens, printers, and materials, the color and appearance of your printed puzzle may differ slightly from what you see on your device. This is inherent to any printed product and does not constitute a defect.

12. Use Restrictions

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law.
• Attempt to reverse engineer, decompile, or disassemble any part of the Services or underlying technology.
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to any systems or networks connected to the Services.
• Use the Services to compete with us or to build a similar or competing product.

13. Intellectual Property

All rights, title, and interest in the Services, including the website design, logos, text, graphics, software, and all other materials (excluding Your Content), are owned by or licensed to Meridia Inc.. These are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works based on any part of the Services without our express written permission.

If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us an unrestricted, royalty-free, perpetual, irrevocable license to use that feedback in any way we see fit without any obligation to you.

14. Disclaimers of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

15. Limitation of Liability

To the maximum extent permitted by law, Meridia Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Services.

Our total liability for any claim arising from or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) $100.

16. Indemnification

You agree to indemnify, defend, and hold harmless Meridia Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services.
• Your Content, including any claims that it infringes third-party rights.
• Your violation of these Terms or any applicable law.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately.

Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Delaware, United States.

19. General

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Meridia Inc. regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
• No Third-Party Rights: These Terms do not create any third-party beneficiary rights.
